Introduction
The Monark Markets API suite enables our brokerage platform partners to offer users access to a curated marketplace of private asset investments. Our API provides a comprehensive suite of endpoints that handle the entire lifecycle of private market investing, from initial questionnaires to final investment execution through SPVs (Special Purpose Vehicles) in partnership with Sydecar.
The APIs are designed with flexibility in mind, allowing brokerage platforms to seamlessly integrate private market offerings into their existing user experience while maintaining full control over UI/UX decisions.
Fundamental Objects
The different objects, resources, and their respective roles in Monark's product are described below. Currently, Monark only supports investment late stage private ("Pre-IPO") companies.

| Partner | Partners represent brokerage platforms or clearing firms that integrate directly with Monark APIs. Partners are the primary users of our API and provide Investors with access to the private asset marketplace, either through direct relationships with Investors or through B2B relationships with Financial Institutions. |
| Financial Institution | Financial Institutions represent the broker-dealer, RIA, or FFI that holds a direct relationship with the Investor. Monark requires that Investors be associated with a Financial Institution upon creation. |
| Questionnaire | Questionnaires are customizable sets of questions that Partners can present to their users. They're used for gathering investment preferences and qualifications. |
| Indication of Interest | Allows investors to submit non-binding indications of interest to invest in specific companies. Used to gauge demand before sourcing shares and creating investment vehicles. |
| Investor | Represents individual or entity investors from Partner platforms. Contains essential user information and accreditation status. Access to investor information is secured to ensure Partners can only access their own investors' details. |
| Investor Subscription | Represents an Investor's investment in a specific SPV. Tracks the investment amount and status of the Subscription. |
| Pre IPO Company | Describes the private company that Investors will be getting exposure to by investing in a Pre IPO Company SPV. Monark is partnered with Sacra to provide Pre IPO company information and research Ex. SpaceX, OpenAI, Anthropic etc. |
| Investor Subscription Action | Describes the list of actions, associated with an Investor Subscription, that need to be taken in order for an investor's Subscription in an SPV to be completed. |
| Pre IPO Company Investment | This object contains the details of the investment that is made by the SPV in the underlying PreIPOCompany, either by holding direct shares or via another SPV. It is important to note that Investments do not represent an investor's holdings in an SPV. Instead, an Investment represents the shares an SPV holds in a Pre-IPO Company, and contains details specific to those shares. |
| Pre IPO Company SPV | The Special Purpose Vehicle or “SPV” is the actual investment vehicle that Investors will subscribe to. Monark is partnered with Sydecar to provide Partners with a programmatic, API forward fund admin solution, including SPV creation, tax form creation and distribution, and ongoing fund administration services. |
