Private Company Investing
The offering page, the order, the required actions, and the portfolio an investor sees afterwards.
Integrating through Apex AscendOS?The product guidance on this page applies to you. The endpoints, fields and statuses are Monark's; use the AscendOS equivalents listed in Building on Apex AscendOS.
These guides cover the investing half of a private markets integration: everything from the moment an investor opens an offering to the position they hold afterwards.
Read Private Company Marketplace first if you have not built the account, accreditation and discovery surfaces yet — an order cannot be placed without them.
In This Section
- SPV View: the offering page — deal terms, pricing, fees, allocation and documents
- Submit an Order: creating the transaction, and every rule that can refuse it
- Transaction Actions: the disclosures, acknowledgements and signatures that make a subscription binding, and the order to complete them in
- Portfolio View: open orders, positions, valuations, statements, tax documents and corporate actions
The Shape of It
- The investor opens an SPV — the vehicle that holds shares in a company. The company itself is not investable.
- Your platform checks their cash and reserves it. Monark never holds investor cash.
- A transaction is created for a dollar amount. This is not yet a commitment.
- The investor completes the actions Monark attaches to the transaction. The last one makes it binding.
- The SPV fills, closes, and the transaction becomes
Complete. The investor holds a position.
Important: Two things in this sequence surprise people. A
Pendingtransaction reserves no allocation and no seat, so an accepted subscription can still fail later. And an investor cannot redeem an SPV position.
